1. Agreement to Terms
By accessing or using the services provided by BuilderCents ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.
These Terms apply to all visitors, clients, and others who access or use our services, including but not limited to our website, accounting services, financial reporting, and consulting engagements.
2. Description of Services
BuilderCents provides specialized accounting, bookkeeping, job costing, financial reporting, and back office operations services for home builders. Our services may include but are not limited to:
- Monthly job costing and profitability reporting
- Lender ready financial statement preparation
- BuilderTrend and QuickBooks Online integration and management
- Construction draw tracking and reporting
- Back office operations support
- Financial review and consultation
The specific scope of services provided to each client will be defined in a separate service agreement or engagement letter.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate, complete, and timely financial information and documentation necessary for us to perform our services
- Respond to requests for information in a timely manner
- Maintain valid and current software licenses for any third party platforms (e.g., QuickBooks Online, BuilderTrend) required for service delivery
- Review reports and deliverables provided by BuilderCents and notify us of any concerns promptly
- Ensure that all information provided to us is lawful and does not infringe on any third party rights
4. Fees and Payment
Fees for our services will be outlined in your service agreement or engagement letter. Unless otherwise specified:
- Fees are billed on a monthly basis and are due upon receipt of invoice
- Late payments may be subject to a late fee as specified in your service agreement
- We reserve the right to suspend services for accounts with outstanding balances exceeding 30 days past due
- All fees are non refundable unless otherwise stated in writing
5. Confidentiality
We understand the sensitive nature of your financial information. BuilderCents will maintain the confidentiality of all client information and will not disclose such information to third parties except:
- As required by law, regulation, or legal process
- With your prior written consent
- To our employees, contractors, or service providers who need access to perform our services and who are bound by confidentiality obligations
6. Limitation of Liability
BuilderCents provides accounting and financial reporting services. We are not a licensed CPA firm, law firm, or financial advisory firm unless explicitly stated otherwise. Our services do not constitute legal, tax, or investment advice.
To the maximum extent permitted by law, BuilderCents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our services.
Our total liability for any claims arising from our services shall not exceed the total fees paid by you to BuilderCents during the six (6) months immediately preceding the event giving rise to the claim.
7. No Guarantee of Results
While we strive to provide accurate and timely financial reporting, BuilderCents does not guarantee specific financial outcomes, profitability improvements, or lender approvals. Results depend on many factors including the accuracy of information provided, market conditions, and business decisions made by the client.
8. Intellectual Property
All materials, templates, reports, frameworks, and proprietary processes developed by BuilderCents remain the intellectual property of BuilderCents. Clients receive a non exclusive, non transferable right to use deliverables provided as part of their service engagement for their own internal business purposes only.
9. Term and Termination
The term of service will be as specified in your service agreement. Either party may terminate the engagement with written notice as outlined in the service agreement. Upon termination:
- All outstanding fees become immediately due and payable
- BuilderCents will provide reasonable assistance in transitioning your accounts to another provider
- Access to any BuilderCents managed systems or tools may be discontinued
10. Indemnification
You agree to indemnify, defend, and hold harmless BuilderCents, its officers, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your breach of these Terms, your misuse of our services, or your violation of any applicable law.
11. Dispute Resolution
Any disputes arising out of or related to these Terms or our services shall first be attempted to be resolved through good faith negotiation. If a resolution cannot be reached within thirty (30) days, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the state where BuilderCents maintains its principal place of business.
12. Modifications to Terms
BuilderCents reserves the right to modify these Terms at any time. We will notify current clients of material changes via email. Continued use of our services after such modifications constitutes acceptance of the updated Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the state in which BuilderCents operates, without regard to conflict of law principles.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
